1. Agreement to Terms

By accessing or using the services provided by SMARTCODE LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you may not use our services.

2. Services Description

SMARTCODE LLC provides professional consulting services, digital advisory, and business support services. Service details, deliverables, timelines, and pricing will be specified in individual service agreements or project proposals.

3. Service Agreements

Specific terms for each engagement will be outlined in:

  • Written proposals or statements of work
  • Service level agreements (SLAs)
  • Project contracts
  • Subscription agreements for recurring services

In case of conflict, specific service agreements take precedence over these general terms.

4. Payment Terms

  • Prices are stated in USD unless otherwise specified
  • Payment is due within 30 days of invoice date unless otherwise agreed
  • Late payments may incur interest charges
  • Subscription services are billed monthly or annually as specified
  • All fees are non-refundable except as stated in our Refund Policy

5. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information
  • Respond to requests for information in a timely manner
  • Maintain confidentiality of access credentials
  • Use services in compliance with applicable laws
  • Provide necessary cooperation for service delivery

6. Intellectual Property

Our Property

All materials, methodologies, tools, and know-how developed by SMARTCODE LLC remain our property unless explicitly transferred in writing.

Client Property

Client retains ownership of all data, content, and materials provided to us. We may use such materials only for providing services to the client.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the course of service delivery. Confidential information includes business strategies, technical data, customer information, and other non-public information.

8. Limitation of Liability

To the maximum extent permitted by law, SMARTCODE LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the amount paid by the client for the specific service giving rise to the claim.

9. Warranties and Disclaimers

We provide services using reasonable skill and care. However, services are provided "as is" without warranties of any kind, express or implied, including merchantability or fitness for a particular purpose.

10. Termination

Either party may terminate services with written notice:

  • Project-based services: Upon project completion or mutual agreement
  • Subscription services: 30 days' notice for cancellation
  • For cause: Immediately upon material breach

Upon termination, client must pay for services rendered up to the termination date.

11. Dispute Resolution

Any disputes arising from these terms shall be resolved through good faith negotiations. If negotiations fail, disputes shall be subject to binding arbitration in accordance with the rules of the American Arbitration Association.

12. Governing Law

These terms are governed by the laws of the United States, without regard to conflict of law principles.

13. Modifications

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of services after changes constitutes acceptance of modified terms.
